Practice focus is on commercial transactions and legal advice on behalf of technology, publishing and art industry clients active in the US and internationally.
Many businesses do not employ in-house legal staff, for reasons of cost or company culture. As outside general counsel, Ms. Linson provides your company broad legal support, without the expense of employing a full-time in-house attorney or the impersonal experience of a large, multi-tiered law-firm.
For new or small businesses, Ms. Linson’s accessibility and clear advice guide you through the day-to-day legal issues associated with forming and growing your business. For larger companies, Ms. Linson works directly with company directors, top management and business staff, as well as inside and third-party counsel, to efficiently achieve clients’ business goals while working within defined legal budgets.
Ms. Linson has extensive experience supporting a variety of web-based businesses, technology companies and contractors. She has negotiated and drafted: software development and licensing agreements; website development, hosting and maintenance agreements; website terms and conditions of use and privacy policies; SaaS agreements; multi-currency processing agreements; independent sales organization agreements; referral agent agreements; reseller agreements; gateway terms and conditions; software escrow agreements; service agreements; voice talent and photographic releases.
Ms. Linson successfully negotiates, drafts and reviews a broad range of complex and high-value commercial contracts for businesses active in the US and internationally. She advises on legal compliance, business risk, intellectual property and data privacy issues in the transactional context.
Ms. Linson provides specialized legal advice to fiction and non-fiction authors, children’s books authors and illustrators, and represents them in negotiating agreements with publishers and publishing agents.
Ms. Linson advises commercial and fine artists in connection with agent agreements, licensing agreements, museum and gallery agreements, and other legal needs specific to the art world.
Every company and its employees need physical space to call their own. Ms. Linson advises on real property sale and purchase agreements, as well as commercial and residential leases.
